These Terms of Service ("Terms") govern access to and use of the SEOryon platform and related services (the "Service"), operated by:

In these Terms, "ORYON SYSTEMS", "SEOryon", "we", "us" and "our" refer to ORYON SYSTEMS.

By creating an account, subscribing to, or using the Service, you agree to these Terms.

If you do not agree to them, do not use the Service.

1. The Service

SEOryon is a software-as-a-service platform providing tools including:

  • AI-assisted article generation, editing and optimization;
  • content planning, scheduling and publishing;
  • automated publishing workflows, including Autopilot;
  • project-specific knowledge and context features;
  • document and image uploads;
  • voice dictation and transcription;
  • SEO, keyword, competitor and website-performance analysis;
  • Google Search Console and Google Analytics integrations;
  • integrations with third-party content-management systems ("CMS");
  • other related content, analytics and automation tools.

Features, models, integrations, quotas and availability may vary by plan and may change over time.

Nothing in the Service constitutes a guarantee of search-engine ranking, indexing, traffic, revenue, commercial performance or any other specific result.

2. Eligibility and Accounts

2.1 Minimum age

You must be at least sixteen (16) years old to use SEOryon.

If you have not reached the age of legal majority where you live, you represent that you have obtained any consent or authorization from a parent or legal representative required by applicable law to use the Service and enter into these Terms.

2.2 Account information

You must provide accurate and current information when creating and maintaining your account.

You are responsible for:

  • safeguarding your login credentials;
  • activity carried out through your account except to the extent caused by a breach attributable to us;
  • using reasonable security measures;
  • promptly notifying support@seoryon.com if you suspect unauthorized access.

You may not share credentials in a manner intended to circumvent plan or seat limits.

2.3 Organizations and workspaces

SEOryon may allow multiple users to collaborate within a workspace.

Workspace permissions may depend on roles such as viewer, member, admin and owner.

Certain actions, including deletion of projects, management of integrations and deletion of a workspace, may be restricted according to the user's workspace role.

If you invite another person into a workspace, you are responsible for granting them an appropriate level of access.

Where you use SEOryon for or on behalf of an organization, you represent that you have authority to act for that organization.

2.4 Consumers and Professionals

For these Terms:

Consumer means a natural person acting for purposes outside their trade, business, craft, profession or commercial activity.

Professional means any natural or legal person acting for purposes relating to their trade, business, craft, profession or commercial activity, including when acting for another Professional.

Where different rules apply to Consumers and Professionals, these Terms say so expressly.

3. Free Trials

SEOryon may offer free or discounted trial periods.

The duration, included functionality, usage limits and eligibility rules for a trial are displayed when it is offered.

Where payment information is collected and the trial automatically converts into a paid subscription, the applicable price and conversion date will be disclosed before subscription.

You may cancel before the end of the trial to prevent conversion to a paid subscription.

We may limit repeated or abusive trial use.

4. Subscriptions, Billing and Consumer Rights

4.1 Plans and pricing

Current subscription plans, included features, quotas and prices are displayed on SEOryon's pricing and checkout pages.

Unless stated otherwise, subscriptions are billed in advance on a recurring basis.

4.2 Taxes

Applicable taxes, including VAT, are calculated according to the information available to us and applicable tax rules.

The total payable amount will be displayed before payment is confirmed.

Professional Clients responsible for reverse-charge treatment or other tax treatment must provide accurate billing and VAT information.

4.3 Payment

Payments are processed through our payment provider.

You authorize recurring charges associated with your selected subscription until cancellation takes effect.

Where a payment fails, we may retry the payment and may restrict or suspend paid functionality until the payment issue is resolved.

4.4 Cancellation

You may cancel your subscription through the functionality made available in your account.

Unless applicable law requires otherwise, cancellation of a recurring subscription takes effect at the end of the paid billing period.

Cancellation does not automatically delete your account or projects.

4.5 Refund policy

Any commercial refund policy advertised by SEOryon is additional to, and does not replace, mandatory Consumer rights.

Except where required by law or expressly stated otherwise, Professionals are not entitled to a refund for an unused portion of a billing period after cancellation.

4.6 Consumers — right of withdrawal

If you are a Consumer and enter into a contract remotely, you may have a statutory fourteen (14) day right of withdrawal under applicable consumer law.

You may exercise that right through any online withdrawal functionality required by law and made available by SEOryon, or by sending an unambiguous withdrawal request to support@seoryon.com.

Where you expressly request that a paid digital service begin before the expiry of the withdrawal period, applicable law may permit SEOryon to charge an amount proportionate to the service supplied before withdrawal.

Your withdrawal rights cannot be excluded except in the circumstances expressly permitted by applicable law.

4.7 Consumer statutory conformity rights

Consumers benefit from mandatory legal protections applicable to digital content and digital services, including the legal guarantee of conformity where applicable.

Nothing in these Terms excludes, reduces or replaces those mandatory rights.

4.8 Price changes

We may change subscription prices prospectively.

Existing subscribers will receive reasonable advance notice of a price increase where required by law or these Terms.

If you do not agree with a future price change, you may cancel before that new price takes effect.

5. Your Content

5.1 Definition

"Your Content" means information or material you provide, upload, enter, dictate, import, connect, generate, select or cause the Service to process.

This can include:

  • prompts;
  • written text;
  • article instructions and drafts;
  • brand information;
  • product information;
  • voice dictation and transcripts;
  • PDF and other supported documents;
  • extracted document text;
  • images;
  • CMS content;
  • project knowledge;
  • URLs;
  • data obtained from integrations you authorize;
  • other materials submitted to your projects.

"Output" means text, images, recommendations, analyses, drafts or other material generated or transformed by AI or other automated functionality within the Service.

5.2 Ownership

As between you and ORYON SYSTEMS, you retain your rights in Your Content.

ORYON SYSTEMS does not claim ownership of Your Content merely because you provide it to the Service.

Subject to applicable law and third-party rights, ORYON SYSTEMS does not assert ownership over Output delivered to you.

5.3 Licence required to provide the Service

You grant ORYON SYSTEMS a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, process, analyze, transform, embed, transmit and otherwise use Your Content only as reasonably necessary to:

  • provide the Service;
  • operate your project-specific knowledge base;
  • generate and transform Output;
  • provide integrations and publishing functionality you request;
  • maintain, protect and secure the Service;
  • troubleshoot the Service;
  • comply with legal obligations; and
  • perform other processing described in our Privacy Policy.

Where you instruct SEOryon to publish content or images through your CMS or other connected service, this licence includes the processing and transmission necessary to carry out that instruction.

The licence ends when the relevant content is deleted, subject to residual backups, legal retention obligations, security records and other limited retention described in the Privacy Policy.

5.4 Responsibility for Your Content

You are responsible for Your Content and for deciding what information you provide to SEOryon.

You represent and warrant that you have the rights, licences, permissions, authorizations and lawful basis necessary for SEOryon to process Your Content as contemplated by these Terms.

This includes, where applicable:

  • copyright;
  • trademark rights;
  • image and publicity rights;
  • confidentiality rights;
  • privacy and data-protection requirements;
  • permissions from identifiable individuals;
  • authority to process information belonging to your employer, client or other third party.

Do not assume that SEOryon will identify confidential, sensitive, illegal, private or inappropriate information contained in something you upload.

SEOryon does not undertake to inspect every file, image, document or prompt or to identify all sensitive or unlawful content before processing it.

5.5 Personal information about others

You must not provide personal data relating to another person unless you have a lawful basis and any required authority to do so.

You are responsible for determining whether information you submit includes special-category, sensitive or regulated personal data and whether processing that information through SEOryon is lawful and appropriate.

You should not provide government identification documents, payment-card information, passwords, authentication secrets, private keys, medical records, highly sensitive personal information or other information that is unnecessary for the purpose for which you use the Service.

Where you nevertheless provide such information, SEOryon does not guarantee that it will recognize or filter it.

6. Project Knowledge and Document Processing

SEOryon may extract information supplied to a project and store it in a private project-specific knowledge base so that relevant information can be reused in future Output within that project.

This functionality is not intended to train a general-purpose model on your information.

Project knowledge is isolated from unrelated customer projects and is not intentionally used as another customer's project knowledge.

Where supported by the Service and subject to workspace permissions, users may review, correct or delete project knowledge.

When a supported document such as a PDF is uploaded for knowledge extraction:

  • SEOryon may read the document and extract its text;
  • the extracted text may be split into chunks and converted into embeddings or other machine-readable representations;
  • metadata such as filename, file type, page count and file size may be retained;
  • SEOryon does not intentionally persist the original document bytes after extraction through this workflow;
  • extracted text, embeddings and associated metadata are retained until the document or relevant project is deleted, subject to the Privacy Policy.

You remain responsible for ensuring you are entitled to provide the document and have its contents processed in this way.

7. Uploaded and Generated Images

Customer-uploaded featured or hero images may be stored by SEOryon in object storage and used in article-generation and publishing workflows.

SEOryon does not currently modify or sanitize uploaded image files; embedded metadata (such as EXIF information) is stored as received and may be served or published with the image. Remove such metadata before uploading if you do not want it stored or published.

Images used as article assets may be served through SEOryon's infrastructure at publicly accessible URLs. Accordingly, you must not upload an image as a public article asset if it should remain confidential or private.

An image you upload may also be transmitted to an AI provider where you expressly use an image-generation or image-transformation feature.

AI-generated or AI-transformed images may contain technical provenance, watermarking or other machine-readable indicators supplied by an AI provider or SEOryon.

You must not intentionally remove, obscure or circumvent legally required AI-origin markings.

8. Voice Dictation

SEOryon may allow you to dictate text using speech-to-text functionality.

Where used:

  • audio necessary for transcription may be transmitted to a third-party AI transcription provider;
  • SEOryon does not intentionally retain the raw audio recording after the transcription workflow;
  • the resulting transcript may be retained as article context or project knowledge in accordance with your use of the Service and the Privacy Policy.

Third-party providers may separately process or retain data according to their applicable API terms, data-processing agreements and legal obligations.

9. AI-Generated Output

9.1 Nature of AI Output

SEOryon uses artificial-intelligence models and automated systems supplied by ORYON SYSTEMS and third-party providers.

AI Output can be incorrect, incomplete, outdated, misleading, biased, unsuitable or non-unique.

Output can also contain or reflect errors contained in Your Content or project knowledge.

Similar Output may be generated for other users.

SEOryon does not guarantee that Output:

  • is factually accurate;
  • is complete;
  • is original or unique;
  • is free of third-party rights;
  • complies with every law applicable to your circumstances;
  • is suitable for a specific use;
  • will achieve a search, traffic or commercial objective.

9.2 Your responsibility for publication

You determine whether and how to use Output.

You are the publisher of content that you publish or authorize SEOryon to publish to your CMS.

You should review Output before publication and use appropriate professional judgment where factual accuracy, regulatory compliance, reputation, health, safety, legal rights or financial consequences are relevant.

AI Output does not constitute legal, medical, tax, investment, accounting or other regulated professional advice.

9.3 Autopilot and automatic publishing

SEOryon may provide features that automatically generate, schedule and publish content, including Autopilot.

By enabling an automatic publishing feature, you expressly instruct and authorize SEOryon to generate, schedule and publish Output through your connected CMS without requiring separate approval from you for every individual item.

Where SEOryon provides a pre-publication review or cancellation window, you are responsible for using that window if you wish to review, modify or cancel scheduled Output.

The existence of a review window does not mean that the content has actually undergone human review.

Your failure to review an automatically scheduled article does not transfer editorial responsibility for that article to ORYON SYSTEMS.

You can disable automatic publishing through the controls provided by the Service.

9.4 Inputs may influence Output

Output may incorporate, paraphrase, infer from or be influenced by Your Content and project knowledge.

If you provide inaccurate, unlawful, misleading, violent, hateful, sexually explicit, infringing or otherwise inappropriate source material, AI-generated Output may reflect aspects of that material.

This does not make SEOryon responsible for the legality or accuracy of the material you supplied or instructed the Service to use.

This clause does not limit any responsibility ORYON SYSTEMS cannot lawfully exclude.

10. AI Transparency and EU AI Act

The Service uses artificial intelligence to generate and transform content.

Where applicable law requires technical marking, provenance, labelling or disclosure of artificially generated or manipulated content, ORYON SYSTEMS may implement or preserve technical measures intended to support those requirements.

You must not intentionally remove, obscure, falsify or interfere with technical provenance or AI-origin markings where doing so would cause you or ORYON SYSTEMS to violate applicable law.

If you use SEOryon in a professional capacity, you may have obligations as a deployer or user of an AI system under Regulation (EU) 2024/1689 or other applicable AI legislation.

Where required by applicable law, you are responsible for disclosures connected with your use and publication of Output.

This may include, in particular:

  • disclosures relating to AI-generated or manipulated image, audio or video content constituting a deepfake or otherwise falsely appearing authentic; and
  • disclosures relating to AI-generated or manipulated text published for the purpose of informing the public on matters of public interest where an applicable exception does not apply.

Enabling Autopilot or another automatic publishing feature does not by itself constitute human review or editorial control.

Where reliance on human review is relevant to a legal transparency exception, the relevant review must actually occur.

ORYON SYSTEMS may modify technical provenance, publishing, disclosure or transparency functionality where reasonably necessary to respond to applicable AI legislation, regulatory guidance, technical standards or industry codes.

11. Acceptable Use

You must not use SEOryon to upload, generate, transform, facilitate or knowingly publish content or activity that:

  1. is unlawful;
  2. sexually exploits, sexualizes or depicts the sexual abuse of a minor;
  3. contains or facilitates child sexual abuse material;
  4. constitutes non-consensual intimate imagery or sexual exploitation;
  5. unlawfully depicts, promotes, instructs or incites terrorism or violent extremism;
  6. unlawfully threatens, incites or facilitates violence;
  7. unlawfully promotes hatred or discrimination against protected persons or groups;
  8. constitutes unlawful harassment, stalking or threats;
  9. infringes copyright, trademark, trade-secret, privacy, publicity or other third-party rights;
  10. is defamatory or otherwise unlawful;
  11. impersonates another person or organization in a deceptive or unlawful manner;
  12. creates fake reviews, fraudulent endorsements, deceptive claims or other fraudulent or materially misleading content;
  13. distributes malware, malicious code, credential-stealing mechanisms or other harmful software;
  14. attempts to compromise, test, probe, bypass or interfere with the Service or another user's systems without authorization;
  15. attempts to bypass authentication, authorization, tenant separation, usage limits, safety systems or other technical protections;
  16. sends spam, phishing or unauthorized bulk communications;
  17. violates the terms of a third-party service connected to SEOryon;
  18. unlawfully processes or discloses personal data;
  19. falsely presents AI-generated legal, medical, financial or other regulated advice as individualized professional advice from a qualified professional; or
  20. otherwise exposes ORYON SYSTEMS, another user or a third party to material legal, security or safety risk.

These restrictions do not prohibit lawful educational, journalistic, historical, analytical or other legitimate discussion of sensitive subjects.

12. Safety Measures, Moderation and Illegal Content

SEOryon does not undertake to generally monitor or pre-screen all Your Content.

We may nevertheless use automated or manual safeguards to identify, restrict, refuse, quarantine, remove or prevent the processing, generation, storage or publication of content that we reasonably believe:

  • violates these Terms;
  • violates applicable law;
  • violates third-party rights;
  • creates a material security or safety risk;
  • is necessary to restrict pursuant to a valid legal order.

Such safeguards may fail to identify problematic material and are not a substitute for your responsibility for Your Content and Output.

We may investigate suspected abuse and may preserve relevant information where reasonably necessary to enforce these Terms, protect the Service, resolve disputes, comply with law or respond to lawful authorities.

12.1 Reporting illegal or infringing content

Reports concerning allegedly illegal, infringing or prohibited content may be sent electronically to:

support@seoryon.com

A useful report should identify:

  • the specific content or URL concerned;
  • why the reporter believes it is illegal or infringes rights;
  • sufficient information to locate the content;
  • the reporter's contact details where appropriate;
  • any supporting information reasonably available.

Where applicable law imposes notice-and-action requirements on SEOryon, notices will be processed in accordance with those requirements.

We may notify the relevant account holder of action taken unless doing so is prohibited by law, would compromise an investigation or would create a material safety or security risk.

Repeat or serious violations may result in account suspension or termination.

13. Third-Party Services and Integrations

SEOryon integrates with services supplied by third parties, including CMS providers, Google services, payment processors and AI providers.

Your use of those third-party services is also subject to their own terms and policies.

When you connect an account or CMS, you instruct SEOryon to exchange the data reasonably necessary to provide the enabled integration.

You are responsible for ensuring you have authority to connect the relevant account and instruct SEOryon to act through it.

ORYON SYSTEMS is not responsible for outages, policy changes, API limitations, account restrictions, data loss or other acts or omissions of a third-party platform outside our reasonable control.

When you instruct SEOryon to publish to a CMS, you remain responsible for compliance with the CMS provider's rules and for content published there.

Content published to your CMS may remain available there after deletion from SEOryon until it is separately removed from that platform.

14. SEOryon Intellectual Property

ORYON SYSTEMS and its licensors retain all rights in the Service itself, including its:

  • software;
  • source code;
  • architecture;
  • databases;
  • user interface;
  • branding;
  • trademarks;
  • documentation;
  • workflows;
  • proprietary technology.

Except for the limited right to use the Service under these Terms, no intellectual-property rights in the Service are transferred to you.

You may not reverse engineer, decompile, copy or attempt to extract source code except to the extent such restriction is prohibited by mandatory law.

15. Feedback

If you voluntarily provide suggestions, ideas or product feedback, you authorize ORYON SYSTEMS to use that feedback to operate, improve and develop its products without payment or other obligation to you.

This does not transfer ownership of unrelated Customer Content.

16. Service Availability, Changes and Security

We aim to operate SEOryon reliably and securely but cannot guarantee uninterrupted or error-free availability.

The Service may be unavailable due to:

  • maintenance;
  • deployment;
  • third-party provider outages;
  • network failures;
  • security incidents;
  • force majeure;
  • other technical or operational events.

We may modify features where reasonably necessary to maintain, secure, improve or comply with law.

For Consumers, nothing in this section permits changes prohibited by mandatory consumer law or removes statutory conformity rights.

17. Suspension and Termination

17.1 By you

You may cancel subscriptions and close your account through the functionality provided by the Service, subject to workspace permissions and applicable contractual rights.

17.2 By us

We may restrict or suspend access where reasonably necessary because:

  • you materially breach these Terms;
  • payment remains unpaid;
  • your activity creates a material security, legal or safety risk;
  • we reasonably suspect fraud or unauthorized access;
  • continued provision would violate law;
  • we are required to do so by a lawful order.

Where appropriate and legally permitted, we will provide reasonable notice and an opportunity to remedy the issue.

Severe or repeated violations may result in termination without prior notice where justified.

17.3 Effect of termination

Termination ends your right to use the Service.

Data will be deleted or retained according to the Privacy Policy and applicable law.

Content already published to a third-party CMS may remain on that CMS unless separately removed.

Sections that by their nature should survive termination remain effective, including relevant provisions relating to intellectual property, liability, disputes and accrued payment obligations.

18. Disclaimers

Subject always to mandatory Consumer rights and other liability that cannot legally be excluded:

SEOryon is provided on an "as available" basis.

We do not warrant that:

  • every feature will always be available;
  • third-party integrations will remain available;
  • AI Output will be accurate, unique or lawful for every use;
  • SEO recommendations will result in any particular ranking;
  • generated content will be indexed;
  • your website will receive particular traffic;
  • safety systems will detect every violation;
  • all uploaded sensitive information will automatically be recognized.

Nothing in these Terms excludes any statutory guarantee or remedy that cannot lawfully be excluded.

19. Limitation of Liability

19.1 Consumers

If you are a Consumer, your rights and our liability are governed by applicable mandatory consumer and civil law.

Nothing in these Terms excludes, limits or reduces liability or remedies that cannot lawfully be excluded or limited, including mandatory statutory rights relating to digital services.

19.2 Professionals

If you are a Professional, to the fullest extent permitted by law:

ORYON SYSTEMS will not be liable for indirect, consequential or special losses, loss of profit, loss of revenue, loss of opportunity, loss of goodwill or business interruption, except where such limitation is prohibited by law.

ORYON SYSTEMS is not responsible for losses caused by:

  • Customer Content that you provided without necessary rights or authority;
  • your publication or use of Output contrary to these Terms;
  • your failure to review information where reasonable review was appropriate;
  • third-party platforms outside our reasonable control;
  • instructions you gave SEOryon to carry out through a connected CMS;
  • unlawful or inaccurate data supplied by you.

Except for liability that cannot legally be limited, our total aggregate contractual liability to a Professional Client arising out of the Service during any twelve-month period will not exceed the fees paid or payable by that Client for the Service during the twelve months preceding the event giving rise to liability.

Nothing limits liability for fraud, wilful misconduct or other liability that cannot legally be excluded or capped.

20. Indemnification — Professional Clients

This Section 20 applies only to Professional Clients.

You will indemnify ORYON SYSTEMS against third-party claims, losses, damages and reasonable external legal costs arising directly from:

  • Your Content;
  • your lack of necessary rights, consents or lawful basis for Your Content;
  • Output you knowingly publish or distribute in breach of these Terms or applicable law;
  • your breach of Section 11;
  • your infringement of third-party rights;
  • your unauthorized use of a connected third-party account.

ORYON SYSTEMS will notify you of a covered claim within a reasonable period and will provide reasonable cooperation.

No indemnification obligation applies to the extent the claim was caused by ORYON SYSTEMS' own unlawful conduct, gross negligence or wilful misconduct.

Consumers are not subject to this contractual indemnity and remain responsible only as provided by applicable law.

21. Data Protection

Our processing of personal data is described in the SEOryon Privacy Policy.

Depending on the circumstances, ORYON SYSTEMS may act:

  • as a data controller for account, billing, Service-operation, analytics, security and similar data; and
  • as a data processor where a Client instructs SEOryon to process personal data contained in Customer Content on that Client's behalf.

Where Article 28 GDPR or equivalent law requires a controller-processor agreement, the processing must be governed by an appropriate data-processing agreement.

22. Changes to These Terms

We may update these Terms for legitimate reasons such as:

  • changes in the Service;
  • security requirements;
  • changes to applicable law;
  • regulatory requirements;
  • changes to material third-party dependencies;
  • clarification of existing provisions.

Where a change materially adversely affects an existing paid subscriber's contractual rights, we will provide reasonable advance notice where required by law.

For Consumers, we will not rely on this section to make a unilateral contractual modification that mandatory law prohibits.

23. Governing Law and Disputes

23.1 French law

These Terms are governed by French law.

If you are a Consumer habitually resident elsewhere in the European Union or another jurisdiction whose mandatory Consumer rules apply, this choice of law does not deprive you of protections that cannot contractually be excluded.

23.2 Courts

For Professional Clients, disputes shall be subject to the competent courts determined under applicable law and any valid jurisdiction clause agreed between the parties.

For Consumers, jurisdiction is determined under mandatory applicable rules. Nothing in these Terms requires a Consumer to bring a claim exclusively before a Paris court where such restriction would be unlawful.

23.3 Complaints

Before starting formal proceedings, you are encouraged to contact:

so that we can attempt to resolve the matter.

23.4 Consumer mediation

Consumers have the right, after first attempting to resolve a dispute directly with ORYON SYSTEMS, to use an eligible consumer mediator free of charge in accordance with applicable French consumer law.

ORYON SYSTEMS currently identifies the following mediator:

The mediator information must be kept current and applies only while ORYON SYSTEMS is validly affiliated with or entitled to refer Consumers to that mediator.

24. General

If part of these Terms is found unenforceable, the remaining provisions remain effective to the extent permitted by law.

Failure to enforce a provision immediately does not waive it.

You may not assign a Professional subscription or transfer an account without our consent where doing so would materially affect our rights or obligations.

ORYON SYSTEMS may transfer these Terms as part of a merger, corporate restructuring, financing or sale of all or substantially all of the relevant business, subject to applicable law.
