Welcome to SEOryon. These Terms of Service (“Terms”) govern your access to and use of the SEOryon platform (the “Service”) operated by ORYON SYSTEMS, a société par actions simplifiée à associé unique (SASU) registered in France under SIREN 107 207 201, with its registered office at 61 rue de Lyon, 75012 Paris, France (“ORYON SYSTEMS”, “we”, “us” or “our”). By accessing or using the Service, you agree to be bound by these Terms.
If you do not agree to these Terms, do not use the Service.
1. The Service
SEOryon is a software-as-a-service platform that helps users:
- Generate SEO-optimized blog articles using artificial intelligence
- Manage, edit, and schedule content
- Publish content to connected content management systems (Webflow, WordPress, Shopify, Ghost, Wix, etc.)
- Analyze keyword opportunities, competitor content, and search performance
- Automate content publishing workflows
The Service is provided to you under a subscription model as described in Section 4.
2. Eligibility and Accounts
2.1 Age Requirement
You must be at least 16 years old to use the Service.
2.2 Account Registration
To use most features of the Service, you must create an account by providing accurate and complete information and keeping it up to date. You are responsible for:
- Maintaining the confidentiality of your login credentials
- All activities that occur under your account
- Promptly notifying us at support@seoryon.com of any unauthorized access or security breach
2.3 Business Use
If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.
2.4 Consumers and Professionals
These Terms distinguish two categories of Client:
- Consumer: any natural person acting for purposes that do not fall within the scope of their commercial, industrial, craft, liberal or agricultural activity.
- Professional: any natural or legal person, public or private, acting for purposes falling within the scope of their commercial, industrial, craft, liberal or agricultural activity, including where acting in the name of or on behalf of another professional.
Where a provision of these Terms applies to only one of these categories, it says so expressly.
3. Free Trial
SEOryon offers a three (3) day free trial for new users.
3.1 No Charge During Trial
You may be required to provide payment information to start the trial. You will not be charged during the trial period.
3.2 Trial Conversion
At the end of the trial, if you have provided payment information, you will be automatically enrolled in your selected paid plan and charged the applicable subscription fee unless you cancel before the trial ends.
3.3 Cancellation Before Trial Ends
You can cancel the trial at any time in your account settings. Cancellation before the trial ends prevents the automatic subscription charge.
3.4 Trial Feature Limitations
Trial features may differ from paid plan features. We reserve the right to modify trial features and duration.
4. Subscription and Billing
4.1 Plans and Pricing
Current plans, features, limits and prices are listed at seoryon.com/pricing.
4.2 Billing Cycle
Subscriptions are billed monthly in advance. The billing cycle begins on the day you subscribe (or, for trial users, the day after the trial ends).
4.3 Payment Method
You authorize us to charge your designated payment method for all subscription fees and applicable taxes. If a payment fails, we may retry the charge and suspend access to the Service until payment is resolved.
4.4 Prices and Taxes
Prices are displayed in euros excluding VAT. Applicable VAT is calculated and added at checkout according to your billing address and status, and the total amount payable is shown to you before you confirm payment.
Professional Clients established in a European Union member state other than France who provide a valid intra-community VAT number are invoiced under the reverse-charge procedure, and no French VAT is applied.
4.5 Cancellation
You can cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period; no partial-month refunds are issued for time you have not used.
4.6 Refund Policy
First-time subscribers may request a full refund of their initial subscription payment within seven (7) days of that payment by contacting support@seoryon.com. This is limited to one refund per Client.
After that period, your subscription continues until the end of the current billing cycle and no refund is issued for unused time. Cancellation takes effect at the end of the current billing period.
Exception: Service Defects. If the Service materially fails to operate as described and we are unable to resolve the issue within a reasonable time, you may request a pro-rated refund by contacting support@seoryon.com. Refund decisions in these cases are made on a case-by-case basis.
This paragraph does not affect a Consumer’s statutory right of withdrawal under §4.7.
4.7 Right of Withdrawal (Consumers)
If you are a Consumer, you have a period of fourteen (14) days from the conclusion of your subscription contract to withdraw from it without giving a reason.
Independently of this right, the refund described in §4.6 is available to you.
This section does not apply if you are a Professional.
4.8 Price Changes
We may change subscription prices from time to time. We will notify existing subscribers by email at least 30 days before any price increase takes effect. If you do not agree to the new price, you may cancel your subscription before the increase takes effect.
5. Acceptable Use
You agree NOT to:
- Use the Service for any illegal purpose or in violation of any applicable laws
- Generate or publish content that is defamatory, obscene, hateful, harassing, infringing, or otherwise unlawful
- Attempt to reverse engineer, decompile, or extract source code from the Service
- Bypass or interfere with security, authentication, or access control mechanisms
- Send spam, phishing, or other unwanted communications using content generated by the Service
- Resell, sublicense, or redistribute the Service or its features without our written permission
- Use the Service to generate content for sites that violate search engine guidelines (cloaking, link schemes, scraped content, etc.)
- Use automated tools (bots, scrapers) to access the Service except as expressly permitted by our API
- Impersonate any person or entity, or misrepresent your affiliation with any person or entity
- Interfere with or disrupt the Service or servers/networks connected to it
We may suspend or terminate accounts that violate this section without prior notice. Repeated or severe violations may result in permanent ban.
6. Content Ownership and License
6.1 Your Content
You retain all ownership rights to content you create, upload, or generate using the Service (“Your Content”). You are responsible for ensuring you have the right to use Your Content, including any third-party materials you incorporate.
6.2 License to Operate the Service
By using the Service, you grant ORYON SYSTEMS a worldwide, non-exclusive, royalty-free license to use, process, store, modify, transmit, and display Your Content solely as needed to provide and improve the Service. This license ends when you delete Your Content or close your account, except:
- Content already published to third-party platforms (e.g., your Webflow blog) remains subject to those platforms’ policies and your direct control there
- Aggregated, de-identified data, which we may retain indefinitely
- Backups, which are deleted on our standard rotation schedule (typically within 30 days)
6.3 AI-Generated Content
Content generated by the Service’s AI features is delivered to you with no copyright claim from ORYON SYSTEMS. You are free to use, modify, publish, and commercialize this content as you see fit. You acknowledge that:
- AI-generated content may contain inaccuracies, hallucinations, or biases. You are responsible for reviewing and verifying it before publication.
- Substantially similar content may be generated for other users. The Service does not guarantee the uniqueness of AI-generated content.
- AI-generated content does not constitute professional advice, whether legal, medical, financial, or otherwise.
- You are responsible for compliance with all applicable laws when publishing AI-generated content, including disclosure requirements where applicable. See Section 6.5 for the EU AI Act specifically.
6.4 Feedback
If you provide suggestions, feedback, or ideas about the Service, you grant us a perpetual, royalty-free license to use them without obligation to you.
6.5 EU AI Act: Content Transparency
Where Regulation (EU) 2024/1689 (the “AI Act”) applies to your use of the Service, Article 50 requires that AI-generated content be marked as such and, where you publish AI-generated text on matters of public interest, that you disclose it was AI-generated. Both obligations do not apply where the content has undergone human review and a natural or legal person holds editorial responsibility for its publication. Because SEOryon is designed for you to review, edit, and approve content before publishing, content published through your normal editorial workflow will typically fall within this exemption. You remain solely responsible for determining whether the AI Act’s disclosure requirements apply to your specific use of AI-generated content and for complying with them.
7. Service Availability
We aim for high availability but do not guarantee that the Service will be uninterrupted, error-free, or available at any specific time. We may suspend the Service for scheduled maintenance, security incidents, or other operational reasons with reasonable notice when possible.
8. Third-Party Services
The Service integrates with third-party platforms (Google, Webflow, WordPress, Shopify, Ghost, Wix, and others). Your use of those services is governed by their respective terms and privacy policies. ORYON SYSTEMS is not responsible for the operation, availability, accuracy, or content of third-party services.
Connecting third-party services typically requires you to grant SEOryon access via OAuth or API credentials. You can disconnect these integrations at any time from your account settings.
9. Intellectual Property
The Service, including its software, design, user interface, branding, documentation, and underlying technology, is the property of ORYON SYSTEMS and its licensors and is protected by intellectual property laws. Nothing in these Terms grants you any right or license to use ORYON SYSTEMS’ trademarks, logos, or proprietary code except as needed to use the Service.
10. Termination
10.1 Termination by You
You may close your account at any time from your account settings. Termination cancels your subscription effective at the end of the current billing period.
10.2 Termination by Us
We may suspend or terminate your account if:
- You violate these Terms or our Acceptable Use Policy
- You fail to pay subscription fees
- Your use of the Service exposes us or other users to legal or security risk
- Required by law or by valid legal process
10.3 Effect of Termination
Upon termination:
- Your access to the Service ends
- We delete your personal data within 30 days, subject to our Privacy Policy
- Content already published to third-party platforms remains live unless you remove it through that platform
- Provisions of these Terms that by their nature should survive termination (intellectual property, limitation of liability, indemnification, governing law, dispute resolution) will survive
11. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION:
- Warranties of merchantability, fitness for a particular purpose, or non-infringement
- Warranties that the Service will meet your specific requirements
- Warranties that AI-generated content will be accurate, complete, or suitable for your purpose
- Warranties about search engine ranking, traffic, indexing, or any specific SEO outcome
- Warranties that integrations with third-party services will be uninterrupted or error-free
You are responsible for reviewing AI-generated content for accuracy, legal compliance, and appropriateness before publication.
Some jurisdictions do not allow the exclusion of certain warranties; in those jurisdictions, the foregoing exclusions apply only to the maximum extent permitted by law.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ORYON SYSTEMS AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, AND SUPPLIERS WILL NOT BE LIABLE FOR:
- Any indirect, incidental, special, consequential, exemplary, or punitive damages
- Loss of profits, revenue, data, business opportunities, or goodwill
- Any damages arising from AI-generated content, including content that is inaccurate, infringing, or causes harm
- Any damages arising from third-party services integrated with the Service
- Aggregate liability exceeding the greater of (a) the amount you paid us in the twelve (12) months before the claim arose, or (b) one hundred euros (€100)
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for gross negligence or wilful misconduct, or any statutory right of a Consumer.
Some jurisdictions do not allow exclusion or limitation of certain damages; in those jurisdictions, our liability is limited to the maximum extent permitted by law.
13. Indemnification
You agree to indemnify, defend, and hold harmless ORYON SYSTEMS and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from:
- Your use of the Service
- Your Content, including any claims that Your Content infringes intellectual property rights or violates law
- Your violation of these Terms or our Acceptable Use Policy
- Your violation of third-party services’ terms (e.g., publishing content that violates Webflow’s terms or Google’s spam policies)
14. Governing Law and Dispute Resolution
14.1 Governing Law
These Terms are governed by French law.
If you are a Consumer habitually resident in the European Union, this choice of law does not deprive you of the protection afforded by the mandatory consumer-protection provisions of the law of your country of residence.
14.2 Jurisdiction
Disputes arising from these Terms or from your use of the Service shall be brought before the competent courts of Paris, France.
If you are a Consumer, you may bring proceedings before the courts of your country of residence, and we will bring proceedings against you only before those courts.
14.3 Complaints and Mediation
Please first contact us at support@seoryon.com so we can attempt to resolve the matter directly.
If you are a Consumer and the dispute is not resolved, you may have free recourse to a consumer mediator (médiateur de la consommation) in accordance with Article L612-1 of the French Consumer Code.

14.4 EU Consumer Dispute Resolution
The European Commission’s Online Dispute Resolution (ODR) platform was discontinued on 20 July 2025 under Regulation (EU) 2024/3228. If you are a Consumer residing in the European Union, you can find the alternative dispute resolution bodies competent for your country on theEuropean Commission’s list of ADR bodies.
15. Changes to These Terms
We may modify these Terms from time to time. Material changes will be communicated by:
- Email to the address associated with your account
- A prominent notice within the SEOryon application
We will provide at least 14 days’ notice before material changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
16. General Provisions
- Entire Agreement: These Terms, together with the Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and ORYON SYSTEMS regarding the Service and supersede any prior agreements.
- Severability: If any provision is found unenforceable, the remaining provisions remain in full force and effect.
- No Waiver: Our failure to enforce any provision is not a waiver of our right to enforce it later.
- Assignment: You may not assign these Terms without our prior written consent; we may assign them in connection with a merger, acquisition, financing, or sale of assets.
- Force Majeure: We are not liable for failures or delays caused by events beyond our reasonable control, including natural disasters, cyberattacks, internet outages, governmental actions, or labor disputes.
- Notices: Notices to us must be sent to support@seoryon.com. Notices to you will be sent to the email address on your account or posted within the Service.
